Licence and service terms — MediaKnight Pro
Version 1.0 — effective from 1 October 2026
1. Supplier and scope
The supplier is Vivango, registered under KvK 34212198, VAT identification number NL001640614B81, Uilenstede 77-H, 1183 AB Amstelveen, the Netherlands. Contact for support, complaints, cancellation and withdrawal: support@vivango.com. Contact is by email; no telephone support number is offered.
Who is who. MediaKnight and MediaKnight Pro are products of Vivango. Vivango makes the software, grants the licence and is responsible for support, updates and the customer relationship. Pro is sold through our authorised reseller Freemius, Inc. Under Freemius' Vendor Terms, Freemius resells the licence, handles the transaction and sales taxes, and issues the invoice. The terms Freemius shows at checkout therefore also apply to the purchase itself. For any question about the software, your licence or support, contact Vivango.
These terms govern the MediaKnight Pro licence, whether you bought it through Freemius as a consumer or as a business customer, and the related Vivango services. A business customer acts for their trade or profession; a consumer is a natural person acting outside those purposes. A business name or checked box does not remove a consumer's statutory protection.
The free MediaKnight plugin does not require a Pro subscription or acceptance of these sales terms. Article 3 addresses the software licence. A separately agreed written offer prevails over conflicting provisions; mandatory law continues to apply.
2. Offer, order and delivery
Before payment, the product page and the Freemius checkout show the supplied version and features, technical requirements, total price including applicable taxes, subscription duration, renewal and cancellation options, with a link to these terms. Customers can save these terms and order details. The licence is formed when Freemius electronically confirms the paid order. A delivery failure gives rise to the remedies in article 8; payment must not be retained without delivery or reimbursement.
These terms are made available before the order and expressly incorporated into the offer. Customers can download or otherwise preserve the offered version unchanged. A reference appearing only on an invoice, or merely installing the plugin, does not replace that provision of the terms. A later text change is not applied retrospectively to an earlier order.
The Freemius confirmation records the order, price, subscription period and licence key; these terms and the withdrawal information are on the linked page. Keep the confirmation. Returning to a payment-success page is not evidence of licence activation; payment status is verified on the server.
One subscription covers the agreed Vivango services for one exact HTTPS WordPress address, including any path. Contact Vivango to move the site or change between www and non-www. Moving the same site is not a second concurrent connection; Vivango verifies authority and helps restore the association. No automatic site-migration feature is promised.
3. Software licence and subscription rights
Both the free plugin and Pro code are supplied under GPLv2 or later. That licence governs use, study, modification and redistribution of the code. These terms do not restrict those rights or make the GPL conditional on payment.
The code is supplied in its available state. Sections 11 and 12 of the supplied GPL govern exclusions of warranty and liability for supplying the code, within their stated limits concerning applicable law and separate written agreements. This does not remove Vivango's obligations for a paid offering, statutory consumer rights or liability that cannot lawfully be excluded. Installation alone is not a separate waiver of those rights.
A paid Pro licence additionally gives access to the licence key, updates and support for the number of websites included in the licence. Licensing and updates run through Freemius. Redistributing GPL code does not automatically give a recipient a licence key, updates, personal activation credentials or individual support. Sharing code alone does not grant a right to transfer secrets or service accounts.
The MediaKnight name and logo are not covered by the GPL and may not be used for a modified or redistributed version. They may be used to identify the product accurately. Misrepresenting yourself as Vivango, an official partner, or a modified version as supported by Vivango is prohibited. This does not restrict source-code rights or assert that the trade mark is registered.
4. Trial
The Pro trial lasts 14 days and requires no payment card. It starts after a successful server check and the administrator's explicit start action. Installing Pro alone does not start a trial. The central registration determines the original end date; ordinary reinstallation does not start another trial for the same site.
The trial does not automatically convert into a paid subscription. Purchase requires a separate payment instruction. Features requiring an active Pro entitlement stop when it expires; independent free protection and enforcement of saved access rules remain available as described in article 10.
5. Price, payment and renewal
MediaKnight Pro is sold by Freemius, Inc. as the seller. The launch price is EUR 59 per year per website, excluding VAT. The total including VAT is shown at checkout. Payment, VAT and invoicing run through Freemius; Vivango never asks for payment card details, neither in WordPress nor through support.
The first paid period is one year from purchase. A paid licence renews automatically every year unless you cancel before the renewal date. Automatic renewal is disclosed before purchase. The 14-day trial is free, needs no payment card and never turns into a paid subscription automatically.
For consumers, after the first year you can cancel at any time with no more than one month's notice. If you have prepaid for a longer period, Vivango makes sure the part after the end date is refunded proportionately. More favourable mandatory rules continue to apply.
Price increases do not apply retroactively or during the current initial annual period. Vivango gives at least 60 days' notice and an opportunity to end the licence without charge before the increase takes effect. A new price is not introduced merely by changing a web page.
6. Cancellation, withdrawal and refunds
Cancel at any time in the Freemius customer portal or by a clear statement to support@vivango.com; your licence keeps working until the end of the paid period (for consumers after the first year, see article 5). Vivango confirms receipt and the end date. Deactivating or deleting a plugin, or deactivating a licence, does not itself cancel. Departure feedback is not a cancellation instruction either.
Statutory withdrawal for consumers. A consumer has a statutory withdrawal period of 14 days after the first purchase. If the consumer asks for immediate delivery or activation of Pro during that period, delivery starts only after the consumer has expressly consented to immediate performance and acknowledged that the statutory right of withdrawal ends once delivery or activation begins, as provided by article 6:230p of the Dutch Civil Code. The checkout must record that consent and acknowledgement; otherwise the statutory right is not treated as waived.
A consumer can withdraw before that moment by a clear email to support@vivango.com or with the optional form. A declaration sent before the deadline is timely; the model form is optional. Any statutory refund is made within the legally required period using the original payment method, unless the law permits otherwise.
Separate 14-day refund policy. Independently of the statutory right of withdrawal, the Flexible refund policy configured for MediaKnight allows consumers and business customers to request a full refund within 14 days of the first purchase, including after Pro has been downloaded or used. Request it in the Freemius customer portal or by email to support@vivango.com. An earlier free trial does not shorten this contractual refund period. The licence ends after the refund; this does not make files public and GPL rights in received code remain.
The terms and refund policy Freemius shows at checkout, and your statutory rights, also apply. Mandatory rights prevail. Duplicate payments are corrected after verification. A payment dispute does not automatically authorise publication of media or deletion of customer content.
If we change sales or licensing system. Vivango may use a different sales or licensing system in the future. Any active licence then stays valid until the end date you received at purchase, and we will email you in advance about what changes and whether you need to do anything, such as cancelling or re-starting an automatic renewal. You will never pay twice for the same period.
7. Support, updates and maintenance
Support is available at support@vivango.com. Vivango handles questions and complaints within a reasonable time, taking their severity and consequences into account, and provides progress information when more time is needed. No fixed contractual response or resolution time or 24-hour monitoring applies unless separately agreed in writing. Statutory deadlines and obligations concerning remedies, security and privacy remain in force.
Support covers Vivango's plugin and licence connection. Custom development, customer-server administration, recovery of external systems and support for third-party modifications are included only if expressly agreed. Vivango may request safe reproduction using a supported, unmodified version; statutory rights do not automatically lapse as a result.
The subscription does not commission continuous monitoring of the customer's entire website, management of their accounts or access roles, or certification of every combination with third-party software, storage services and hosting. The supported environment described before purchase and the agreed performance remain applicable. This scope does not retrospectively undo a separate commitment.
Pro updates are offered through the Freemius connection in the normal WordPress updates screen; replacing a ZIP manually is only a fallback. During the agreed service period Vivango supplies necessary remedial and security updates and explains installation. Consumers retain statutory conformity and update rights extending beyond this promise where applicable. Customers install necessary updates within a reasonable time after clear information about the consequences; missing an update does not automatically remove all liability.
Vivango gives advance notice of planned maintenance where reasonably possible. Uninterrupted availability is not guaranteed. If service closure is foreseeable, Vivango gives notice as early as reasonably possible, provides recovery/transition information and proportionately refunds prepaid undelivered service, without prejudice to statutory remedies.
If a temporary impediment cannot be attributed to Vivango under applicable law, only the performance affected by it may be suspended while the impediment lasts. Vivango explains its cause, consequences and reasonable remedial measures as soon as possible. A cyberattack or supplier outage does not by itself establish force majeure; Vivango's own duties of care remain relevant. Rights to termination, price reduction and reimbursement for non-delivery remain where provided by the contract or law.
Licence transfer. If you no longer have access to the email address you used to buy or activate Pro, we can move the licence to a new email address. Send a request from the new address to support@vivango.com with your licence key or order number. If needed to confirm the licence is yours, we may ask for additional details, such as the website where the licence is active or the name on the invoice. After a successful check we update the email address of your customer account with Freemius. The licence, its term and renewal stay the same. We may refuse a request if we cannot establish that the licence is yours. Keep your licence key confidential: anyone who has it can request a transfer.
8. Defects and remedies
The service and supplied software must conform to the contract. Report a defect with a description and, where possible, a safe reproduction. Vivango investigates and, where appropriate, has a reasonable opportunity to remedy it free of charge. Customers need not publish passwords, full databases or confidential files in a public channel.
Where appropriate remediation fails or is not provided, applicable rights to price reduction, termination, reimbursement and damages remain. Customers need not wait for another repair attempt in a serious case or where the law does not require it. No short contractual forfeiture period removes statutory complaint rights.
For a business claim for damages arising from a remediable breach, the customer notifies Vivango in writing, for example by email, specifying the breach and allowing a reasonable time to remedy it, where applicable law requires Vivango to be placed in default before such damages can be claimed. This does not apply where remediation is permanently impossible, default already arises without notice, or another statutory exception applies. Urgent reasonable mitigation need not await a response.
The parties reasonably cooperate in establishing the cause and limiting further damage. Where available, a claim identifies the incident, affected version, claimed losses and supporting information without unnecessary personal data or secrets. Investigating a report, helping with recovery or proposing a solution does not itself admit liability or waive the customer's rights.
9. Site administrator responsibilities
What MediaKnight does and does not do. MediaKnight restricts access to files in your WordPress uploads folder using WordPress login, roles and signed links. How well this works also depends on things outside MediaKnight: your server configuration (on Nginx your host must apply the rules), proxies, CDNs and caches that already hold copies, other plugins and themes, and the security of your hosting and accounts. MediaKnight is not a complete security solution and does not guarantee that files can never be accessed without authorisation. Run the built-in server check after installation and after every server change. You remain responsible for your server settings, your backups and the decision which files you put on your website. Highly sensitive files do not belong in a publicly reachable uploads folder, even with MediaKnight.
The administrator chooses access rules, manages WordPress accounts and determines whether media are lawfully processed and shared. Make a recoverable backup before changes and test operation after hosting, plugin or configuration changes. Vivango does not provide a backup service for customer media.
Protection requires supported local uploads storage and correct access rules on every server, proxy or CDN serving files. Nginx rules must be installed by the server administrator; Apache requires appropriate write permissions and permitted rules. Previously public caches must be purged. Do not bypass the mandatory anonymous server check.
Customers safeguard administrator accounts and temporary links, check selected roles and follow clear installation/recovery instructions. Damage caused solely by configuration attributable to the customer, unauthorised sharing of credentials or their own modifications is not automatically attributed to Vivango. Where causes combine, each party's contribution is assessed under applicable law; a customer error does not automatically remove Vivango's responsibility for its own breach.
An authorised recipient can keep or redistribute a downloaded file. A magic link may deliberately grant access without login. The plugin cannot recall external copies and does not guarantee legal compliance, certification or security against every attack. Vivango remains responsible for its own attributable breaches; these responsibilities do not transfer all risk to the customer.
10. Pro expiry, outages and removal
Pro expiry, cancellation or deactivation does not make previously protected files public. The active free base enforces saved rules and valid links within their own lifetime and click limits. New Pro operations may stop on expiry or when a valid entitlement can no longer be established.
If Pro disappears while automatic protection was enabled, new uploads may be refused until the administrator restores Pro or explicitly disables automatic protection. Deactivating the base keeps static blocking in place but interrupts controlled downloads. Uninstalling the base restores files to their original public paths where safe; the administrator must assess that consequence first. The uninstall process stops for recovery if restoration conflicts arise.
Vivango does not treat a payment dispute, refusal to give feedback or account closure as an instruction to publish media, erase existing access rules or delete files. Safe recovery and exercise of statutory rights must not be held hostage to a demand for a new payment.
11. Abuse and suspension
Abuse of the hosted service, attacks, unauthorised access and feedback spam are prohibited. Vivango may proportionately restrict the hosted connection for a concrete security threat, serious breach or overdue payable amounts. Where reasonably possible, it gives notice and an opportunity to remedy the issue first; in an emergency, it explains as soon as safely possible.
A suspension is limited to what is necessary, is not automatically permanent and can be disputed through the contact address. GPL rights and existing media protection remain separate from the hosted service. There is no blanket indemnity for every third-party complaint; liability for a party's own unlawful conduct follows applicable law.
12. Liability
For consumers, statutory rules apply. The business limitation below does not apply to consumers. Vivango does not exclude liability to them through a general disclaimer.
For business customers, Vivango's liability for an attributable contractual breach or unlawful act per event or connected series of events is limited to the amount the customer paid for the relevant MediaKnight Pro licence in the twelve months before the event, excluding VAT. Reasonable costs of assessing damage, limiting direct damage and restoring data from available backups may constitute direct damage.
In addition, total damages payable to one business customer for all events allocated to one calendar year are limited to all MediaKnight Pro licence fees paid by that customer for that calendar year, excluding VAT. Fees for subscription periods spanning calendar years are allocated proportionately by time. An event belongs to the year when it occurs; a connected series belongs to the year of its first damage-causing event. The date a claim is submitted does not move it to another year. This annual cap applies to the extent legally permitted.
For business customers, indirect and consequential losses such as lost profit, revenue and savings, and loss or corruption of data that the customer could have restored from a reasonable backup, are excluded to the extent legally permitted. A party's label for damage is not decisive; its nature and cause are assessed. Connected events are not artificially divided to multiply the limit.
The same damage is not compensated twice under different legal grounds. These damages limits do not remove separate rights to delivery, remedies, price reduction or reimbursement. A cap is not a fixed payment or minimum amount due upon every report. The limitations do not depend on an existing insurance policy or an insurer making a payment.
The limitations do not apply to intent or deliberate recklessness of the proprietor or management, fraud, death or personal injury for which liability exists, or where limitation or exclusion is prohibited by law. Data subjects' GDPR rights and third-party claims are not removed by this contract. GPL warranty provisions do not limit a separate performance obligation accepted by Vivango or imposed by law.
13. Privacy, feedback and security reports
The privacy policy explains licensing, payment, support and voluntary feedback data. Acceptance of sales terms is not general consent to marketing or additional data processing. Before an assignment giving Vivango access to personal data on a customer's behalf, the parties assess whether additional processing arrangements are required.
Feedback is voluntary. Vivango may use general ideas to improve the product without an obligation to implement them, pay for them or publicly identify the contributor. Personal data remain subject to the privacy policy; this clause does not transfer rights in submitted copyrighted materials. Do not send secrets or customer documents. Privately report suspected vulnerabilities to support@vivango.com, requesting a secure channel first if needed; this is not unlimited permission to test other systems.
14. Changes, governing law and disputes
Vivango may make necessary changes for security, legal obligations or technical compatibility without undermining the agreed core service. Changes materially disadvantaging use are clearly announced in advance on a durable medium, with applicable termination and refund rights. Mandatory consumer rules governing changes to digital services continue to apply; continued use is not automatic consent to every change.
Dutch law governs the contract. Consumers retain mandatory protection under the law that would apply without this choice. Consumers may use the courts competent under applicable law; no mandatory exclusive Amsterdam forum is imposed on them. For business disputes, the competent court in the Amsterdam district is designated to the extent permitted. The parties first try to resolve complaints through the contact address; this does not prevent urgent relief or timely legal action.
If a provision is invalid, the remaining provisions continue where possible. An invalid provision is not automatically replaced by the most restrictive possible alternative. Both supplied language versions are considered in interpretation; consumers retain applicable statutory interpretation and protection rules.
